Terms of Service

These Terms govern access to Monolith, a business decision-support platform operated by Mark Shapiro ("Monolith," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms and acknowledge the Privacy Policy. If you use Monolith for an organization, you represent that you are authorized to accept these Terms for that organization.

1. Eligibility and authorized use

You must be at least 18 and an authorized business user. Access is limited to the organizations, roles, and features assigned to your account. You are responsible for keeping credentials confidential, using accurate account information, and promptly reporting suspected unauthorized access.

2. The service

Monolith organizes relationship, procurement, assessment, institutional-knowledge, diligence, and fund-planning workflows. Features may rely on public records, user-provided information, third-party services, statistical methods, and artificial intelligence. Monolith is not affiliated with or endorsed by SAM.gov, the U.S. government, or any public-data source unless expressly stated.

3. Decision-support limitation

Monolith provides decision-support information only. It does not provide investment, legal, tax, accounting, valuation, securities, procurement, contracting, cybersecurity, or other professional advice; it is not an offer, solicitation, fiduciary determination, guarantee, or recommendation to transact. Public data may be delayed, incomplete, duplicated, or inaccurate. Scores, forecasts, AI outputs, and scenarios are estimates or planning tools, not promises of an award, financing, return, or other outcome. You and your qualified professionals remain solely responsible for verification, diligence, submissions, and decisions.

4. User content and permissions

You retain ownership of content you submit. You grant us a limited, nonexclusive license to host, copy, process, transform, and display that content only as needed to operate, secure, support, and improve the service. You represent that you have all rights and permissions needed to provide the content and to permit processing by Monolith and its service providers, including any AI processing you initiate.

5. Confidential and sensitive information

You must follow your organization's confidentiality, procurement, export-control, privacy, and security requirements. Do not upload classified information, export-controlled technical data, regulated personal data, trade secrets belonging to others, or other restricted material unless your organization has expressly authorized that use and the service has been approved for it. Monolith is not represented as a system authorized to store classified information.

6. Prohibited conduct

You may not use Monolith to violate law or third-party rights; access another organization without authorization; probe, disrupt, overload, or evade security controls; introduce malicious code; scrape or redistribute data contrary to source terms; reverse engineer protected portions of the service except where law permits; misrepresent AI output as verified fact; or use the service to make unlawful discriminatory, deceptive, or harmful decisions.

7. Third-party services and public sources

Monolith may link to or depend on third-party services and public sources. Their availability, accuracy, security, and terms are outside our control. A link or imported record does not constitute endorsement. You are responsible for complying with source licenses, website terms, procurement rules, and any restrictions applicable to your use.

8. Intellectual property

Except for user content and third-party materials, Monolith's source code, design, workflows, documentation, trademarks, and other service materials are owned by Mark Shapiro and protected by applicable law. No ownership rights are transferred under these Terms.

9. Availability, changes, and termination

We may modify, suspend, or discontinue features and may restrict or terminate access for security, legal, nonpayment, misuse, or material breach. The service may experience outages, delayed data, maintenance, or third-party failures. You may stop using Monolith at any time and may contact your organization administrator regarding account closure.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONOLITH IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. WE DO NOT WARRANT THAT THE SERVICE OR ANY DATA, MODEL, EXPORT, OR OUTPUT WILL BE ERROR-FREE, COMPLETE, SECURE, OR SUITABLE FOR A PARTICULAR DECISION.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARK SHAPIRO AND MONOLITH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, CONTRACTS, OPPORTUNITIES, OR GOODWILL; OR DECISIONS MADE OR NOT MADE USING THE SERVICE. OUR TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID FOR THE SERVICE BY THE CLAIMING PARTY DURING THE 12 MONTHS BEFORE THE EVENT OR $100. THESE LIMITS DO NOT APPLY WHERE APPLICABLE LAW PROHIBITS THEM.

12. Indemnification

To the extent permitted by law, you and the organization you represent will defend and indemnify Mark Shapiro and Monolith against third-party claims, losses, and reasonable costs arising from content you submit, your unlawful or unauthorized use, your breach of these Terms, or your violation of another person's rights.

13. Governing law

These Terms are governed by Michigan law, without regard to conflict-of-law rules. Except where law requires otherwise, disputes will be brought in the state or federal courts serving Oakland County, Michigan, and the parties consent to their jurisdiction.

14. General terms

These Terms and the Privacy Policy are the entire agreement concerning the service unless a separate written agreement applies. If a provision is unenforceable, the remainder stays effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them with a transfer of the service. Sections intended by their nature to survive termination will survive.

15. Changes and contact

We may update these Terms by posting a revised version with a new effective date and giving additional notice when required. Continued use after the effective date constitutes acceptance where permitted by law. Questions may be sent to Info@jmshapiro.com.
